How does a note (Schuldverschreibung) work?
  • Investors provide capital for a fixed term.
  • The company pays periodic interest and repays principal at maturity.
  • Terms (maturity, interest, redemption) are defined per offer.
How safe is my money in a note?
- Bonds issued by Nordalba Invest GmbH are not bank deposits and are not protected by any statutory deposit guarantee.

- Interest and redemption payments depend solely on the company’s economic performance. Investors hold an ordinary, unsecured and non-subordinated claim.

- Part of the funds is invested in liquid, broadly diversified ETFs and other securities; these can be used to support corporate liquidity.

- There is no collateral in favour of investors and no guarantee that such measures will be available.
How do tax and exemption handling work?
  • Interest is paid monthly net.
  • Withholding (capital gains tax, solidarity surcharge, church tax if applicable) remitted as required.
  • No exemption orders accepted at present.
  • Annual interest/tax statement provided.
  • Up to €1,000 may be reclaimed via the tax return.
  • Above that, reconciled with personal rate; if < 25%, partial refund.
  • Note: only if the allowance hasn’t been used elsewhere.

How does a profit participation certificate work?
  • A profit participation certificate represents a share in the economic success of Nordalba Invest GmbH.
  • Investors receive no voting rights or equity; they participate solely in the company’s annual surplus.
  • Distributions are paid annually as profit participation, subject to the company’s results.
How and when are distributions made?
  • Distributions are made once per year after the fiscal year has ended and the annual surplus has been determined.
  • If a certificate is acquired during the fiscal year, the first distribution is prorated according to the holding period within that year.
  • Payments are made net, i.e., after withholding capital gains tax, solidarity surcharge and, where applicable, church tax.
  • Nordalba remits these taxes directly to the tax authorities as required by law.
  • Once a year, Nordalba provides an interest and tax statement that investors can use for their tax return (e.g., “Anlage KAP”).
  • Unused tax allowances (e.g., saver’s allowance) can be credited or refunded via the tax return, provided they have not been used elsewhere.
What drives the return of a profit participation certificate?
  • The invested capital flows directly into Nordalba Invest GmbH’s operating business and increases the portfolio volume.
  • Therefore, returns depend more on the overall portfolio volume than on portfolio performance alone.
  • The more funds work in the portfolio (e.g., through notes and other financing), the greater the potential result in which certificate holders share.
  • There is no loss participation – investors bear no risk beyond their invested amount.
